Force Majeure
FiscalWise shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of internet or telecommunications infrastructure.
Legal Provisions and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Nicosia, Cyprus.
Dispute Resolution Procedures
In the event of any dispute arising from these Terms and Conditions or our services:
- 1. The parties shall first attempt to resolve the dispute through good faith negotiations
- 2. If negotiations fail within 30 days, either party may initiate mediation proceedings
- 3. Should mediation not resolve the dispute, the matter may proceed to binding arbitration or litigation in Cyprus courts
Jurisdiction
You consent to the personal jurisdiction of the courts located in Nicosia, Cyprus for any actions for which the parties retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
Severability Clause
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these terms. The remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and FiscalWise regarding use of our services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
